1. Agreement to These Terms

These Terms of Service ("Terms") are a binding agreement between you and Lux Red, Inc., a Delaware corporation doing business as COMPS.red ("COMPS.red," "we," "us," or "our"). They govern your access to and use of the COMPS.red browser extension, website, and related services (together, the "Service").

By creating an account, installing the extension, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. What COMPS.red Is

COMPS.red is a private real estate comp organizer. It lets you save property information you choose into comparison sets ("comp sets"), annotate and analyze them with tools such as an ROI calculator and hazard lookups, and collaborate with team members you invite. Comp sets are not published as a public gallery on the open web. COMPS.red does not crawl, scrape, or pull MLS inventory on your behalf.

3. Eligibility

• You must be at least 18 years old and able to form a binding contract.
• The Service is intended for business and professional use in connection with real estate analysis.
• If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

4. Accounts & Security

• You sign in with Google. You are responsible for maintaining the security of the Google account you use and for all activity under your COMPS.red account.
• Notify us promptly at support@comps.red if you suspect unauthorized access.
• You are responsible for the conduct of team members you invite to your workspace and for the data they contribute or access.

5. Subscriptions, Billing & Trials

• Plans. Some features require a paid subscription. Current plans and prices are shown at checkout and on our website.
• Payment. Payments are processed by Stripe. By subscribing you authorize us, through Stripe, to charge your payment method on a recurring basis until you cancel.
• Trials. We may offer a free trial. Unless you cancel before the trial ends, your subscription will begin and your payment method will be charged automatically. The trial length and terms shown at signup control.
• Renewal & cancellation. Subscriptions renew automatically for the same term unless cancelled. You can cancel anytime from the billing portal; cancellation takes effect at the end of the current billing period.
• Refunds. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial subscription periods. You can evaluate COMPS.red free during the trial before any charge.
• Price changes. We may change prices for future billing periods with reasonable notice. If you keep using the Service after a change takes effect, you accept the new price. Existing subscriptions are not re-priced retroactively.
• Taxes. Prices exclude taxes unless stated; you are responsible for applicable taxes.

6. Acceptable Use

You agree not to:

• Use the Service to violate any law or the terms of service of any third-party website, including the real estate listing sites you view;
• Use the Service to build a competing product, or resell, sublicense, or redistribute the Service or data obtained through it except your own content;
• Reverse engineer, decompile, or attempt to extract source code, except to the extent the law permits;
• Circumvent usage limits, security controls, or access controls, or probe or disrupt the Service;
• Upload unlawful, infringing, or malicious content, or content you do not have the right to share;
• Use the Service to send spam or to harass other users.

7. Your Content

• You own your content. You retain all rights to the property data, notes, calculations, messages, and files you create or upload ("Your Content").
• License to operate the Service. You grant us a limited, non-exclusive license to host, store, process, transmit, and display Your Content solely to provide and improve the Service for you and the team members you authorize.
• Responsibility. You are responsible for Your Content and for having the rights necessary to use it with the Service.
• Export & deletion. You can export and delete Your Content as described in our Privacy Policy.

8. Third-Party Sites & Services

The Service helps you organize information from third-party websites you visit and integrates with third-party services (such as Google, Stripe, and cloud media hosts). We do not control those sites or services, and your use of them is governed by their own terms. You are responsible for complying with the terms of any listing site you use the Service with. COMPS.red reads only pages you have open and choose to save, and does not make background requests to listing sites.

9. Intellectual Property

The Service, including its software, design, and branding, is owned by COMPS.red and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. All rights not expressly granted are reserved.

10. Privacy

Our Privacy Policy explains what we collect and how we use it, and is incorporated into these Terms. Our use of data received from Google APIs adheres to the Google API Services User Data Policy, including its Limited Use requirements.

12. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that data (including third-party data such as listing details or hazard information) will be accurate or complete.

13. Limitation of Liability

To the maximum extent permitted by law, COMPS.red and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business opportunity, arising out of or related to the Service. Our total liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid us in the twelve (12) months before the event giving rise to the claim, or (b) USD $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless COMPS.red from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms or of any law or third-party right.

15. Termination

• You may stop using the Service and cancel your subscription at any time.
• We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. Where practical, we will give notice.
• On termination, your right to use the Service ends. Sections that by their nature should survive (e.g., content ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via the extension, the website, or email. Changes take effect when posted (or on the stated effective date). If you keep using the Service after changes take effect, you accept the updated Terms.

17. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state or federal courts located in the State of Delaware, and you consent to their jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction.
